Terms and Conditions of Services
Independent Contractor: Subjects to the terms and conditions of this Agreement, the Client hereby engages the contract as an independent contractor to perform the services set forth herein, and Contractor hereby accepts such engagement. This Agreement shall not render the contractor as an employee, partner, agent, of, or joint venturer with the client for any purpose. The Contractor is and will remain an independent contractor in contractors relationship to the client. The Contractor shall have no claims against the Client herein for vacation pay, sick leave, retirement benefits, social security, worker compensation, health or dental benefits, unemployment insurance, or employee benefits of any kind.
Duties / Scope of Project: Contractor agrees to perform services until the engagement has ended on the agree-upon. The Contractor will perform general bookkeeping and additional services agreed upon, on a continuous and as needed basis for the Client including business expense reports provided to the client or to a Bank, Tax Preparer, or other party as designated by the client. Contractor will report to the client for authorized agreement to connect with the performance of the duties under this agreement.
Term and Compensation: The Contractor's terms of engagements, compensation and provision for payment thereof shall be as set forth below which may be amended in writing from time to time, or supplemented with subsequent estimates for services to be rendered by the contractor and agreed by the client. This engagement shall commence upon execution of this Agreement and shall continue in full force and effect until at least one party chooses to end the agreement by providing written email notice. Clients will pay on a monthly basis the full amount billed. Payments must be within 30 business days or the contractor will cause further actions Until payment is made in full. A bill not being paid in 60 days is a violation and will result in termination of the engagement agreement.
Termination / Copyright: This Agreement can freely be terminated by any party at any time. Upon violating the engagement of this contract the Contractor will own the copyright for all material created under this agreement, and the Client will own the data, showcase sample works from this project as portfolio pieces.
Disputes / Conflict of interests: The Contractor has sole discretion regarding the location, times and total hours during which services are rendered to the Client. The contractor is expressly free to perform services for other parties while performing services for the client. If a dispute arises relating to this Letter Of Engagement Agreement the parties will follow this procedure before pursuing any other remedy: The parties will promptly meet to attempt in good faith to negotiate a resolution of the dispute. If within 30 days after that meeting, the parties have not resolved the dispute, they will submit the dispute to good faith mediation and will bear equally the cost of the meditation.
Headlines: Headings are not part of this agreement and are not intended to be a full and accurate description of the content hereof.
Legal: Contractor declares that they cannot guarantee completed work will be completely error-free as such they can't be liable to the client or third party for missing information, not enough information, inaccurate information, mistakes or unclear communication as a bookkeeper. If any provision of this contract shall be unlawful, void, or for any reason is unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validation and enforceable of any remaining provisions.
Modification of Amendment: Any and all notices, demands, or other communication required or desired to be given under this agreement by any party shall be in writing or email. No Amendment, change or modification of this Agreement shall be valid unless in signed writing by the parties.
